What Are Loyalty Points Worth?
- All Go tiers earn loyalty points (100 pts per $1 spent on qualifying purchases, at $0.025 per 100 pts — 4,000 pts = $1.00).

Upmos Honors uses a fixed redemption rate of $0.025 per 100 points for loyalty points earned by all Go members. This means approximately 4,000 points = $1.00 in reward redemption value. The redemption value by tier is:
- Example: 1,000 loyalty points ÷ 100 × $0.025 = $0.25 redemption value
- Example: 5,000 loyalty points ÷ 100 × $0.025 = $1.25 redemption value
- All Go members earn loyalty points. Milestone loyalty rewards are earned after 3, 7, and 10 consecutive years. Go Select and Go Premier members receive milestone rewards as eGift cards. Go Exclusive members can cash out (minimum $5.00).
Milestone loyalty rewards are earned by all Go members after 3, 7, and 10 consecutive years of uninterrupted membership (upgrades and downgrades are acceptable). Rewards are valued at $25, $50, and $100 respectively, delivered in points. Go Select & Go Premier members receive rewards as eGift cards. How Point Valuation Works
The value of a reward point varies significantly between programs and industries. While many programs aim for a baseline where 100 points equals $1.00 (1 cent per point), the actual redemption value depends on the program and how you use your points.

To determine the value of a single point or the total value of your balance, use the following formulas:

Upmos Example: V = $0.025 per 100 points (4,000 points = $1.00). If you have 3,000 loyalty points: (3,000 ÷ 100) × $0.025 = $0.75 in reward redemption value. Milestone loyalty rewards ($25/$50/$100) are additionally earned after 3, 7, and 10 consecutive years. Go Exclusive can cash out; all other tiers receive eGift cards.

Free Shipping Terms
- Eligibility: Available on all orders placed through upmos.com while your Go membership is active.
- Coverage: Free standard shipping within the contiguous United States.
- No minimum order: Free shipping applies regardless of order value.
- Unlimited usage: There is no cap on the number of free shipping orders you can place per billing cycle.
- Processing time: Orders are processed within 1–2 business days. Standard delivery takes 5–10 business days after processing.
- Exclusions: Oversized items, hazardous materials, and international shipments may incur additional shipping charges. These exceptions will be clearly disclosed at checkout.
- Third-party items: Free shipping applies to items dispatched directly by Upmos. Items fulfilled by third-party sellers on the Upmos marketplace may be subject to separate shipping terms, which will be disclosed on the product page and at checkout.
Non-Member Comparison
Upmos Honors members (non-Go) are eligible for free standard shipping on their first three (3) orders and returns. After the initial three orders, standard shipping rates apply. Go members enjoy unlimited free standard shipping on every order, providing significant long-term savings.
Eligibility Requirements
- Free shipping benefits are available only to customers with an active, paid Go membership in good standing.
- Orders must be placed through upmos.com using the account associated with your Go membership.
- Your Go membership must be active and payment current at the time of order placement. Orders placed during a billing grace period or after membership cancellation are not eligible for free shipping benefits.
Geographic Restrictions
- Free standard shipping applies to deliveries within the contiguous United States (48 states) only.
- Shipments to Alaska, Hawaii, U.S. territories (Puerto Rico, Guam, U.S. Virgin Islands, American Samoa, Northern Mariana Islands), APO/FPO/DPO military addresses, and international destinations are excluded from free shipping and may incur additional charges.
- P.O. Box delivery availability depends on carrier and product eligibility. Some oversized or restricted items cannot be shipped to P.O. Boxes.
Delivery Speed Caveats
- Free shipping uses standard ground delivery. Estimated delivery times are 5–10 business days after order processing (1–2 business days). These are estimates, not guarantees.
- Actual delivery times may vary based on carrier performance, destination remoteness, weather conditions, natural disasters, carrier volume surges (e.g., holiday season), customs processing (where applicable), and other factors outside Upmos’s control.
- Upmos does not guarantee specific delivery dates for free standard shipping orders. For time-sensitive orders, Go Premier and Go Exclusive members may use Express Shipping (orders $50+, delivery within 7 business days).
- Business days are Monday through Friday, excluding U.S. federal holidays. Orders placed on weekends or holidays are processed on the next business day.
Account & Usage Restrictions
- Free shipping benefits are non-transferable and tied exclusively to the Go member’s Upmos account. You may not use your membership to obtain free shipping for orders placed on behalf of, or shipped to, non-Go members as a regular practice.
- Upmos reserves the right to monitor shipping activity for patterns consistent with abuse, including but not limited to: excessive order volumes inconsistent with personal use, bulk or wholesale purchasing behavior, reshipping or freight-forwarding to restricted destinations, or systematic use of returns to exploit free shipping.
- If abuse is detected, Upmos may, at its sole discretion, suspend or revoke free shipping privileges, suspend your Go membership, or terminate your Upmos account in accordance with the Acceptable Use Policy.
Non-Go Member Shipping
- Upmos Honors members (non-Go) receive free standard shipping on their first three (3) orders and returns only.
- After the initial three orders, non-Go members must meet a minimum order total of $70.00 (before taxes and fees) to qualify for free standard shipping.
- Orders below $70.00 for non-Go members will incur standard shipping charges as displayed at checkout.
Account Sharing & Shipping Address Restrictions
- Go memberships are for personal use only and may not be shared, loaned, or used by anyone other than the account holder.
- You may ship to multiple addresses (e.g., home, office, gifts for friends/family) as part of normal personal use. However, Upmos reserves the right to flag and review accounts that consistently ship exclusively to third-party addresses or operate as informal shipping services.
- Sharing your Upmos login credentials with others to allow them to place orders under your Go membership is a violation of this Policy and the Account Sharing & Restrictions section.
Guaranteed Delivery & Carrier Liability
- Upmos uses third-party shipping carriers (including but not limited to USPS, UPS, FedEx, and DHL) to fulfill orders. While we work with reliable carriers, Upmos is not liable for delays, losses, or damages caused by the carrier during transit.
- Delivery date estimates provided at checkout and in order confirmation emails are not guaranteed delivery dates. They are estimates based on historical carrier performance and may be affected by circumstances beyond Upmos’s control.
- If a package is lost, damaged, or significantly delayed (more than 10 business days past the estimated delivery date), contact support@upmos.com to initiate a claim. Upmos will work with the carrier to investigate and, where appropriate, issue a replacement or refund in accordance with our return and refund policies.
- Signature confirmation may be required for high-value orders (over $150). If you are unavailable to sign, the carrier will follow their standard redelivery or hold procedures.
Subscribe & Save Alternative
- Upmos may offer a Subscribe & Save program on select products, which may include its own shipping terms, discounts, and delivery schedules independent of Go membership benefits.
- Subscribe & Save shipments follow their own delivery cadence (e.g., every 2, 4, or 8 weeks) and are not subject to the standard free shipping terms described above. Subscription shipping terms are disclosed at the time of subscription enrollment.
- Go members who also subscribe to Subscribe & Save will receive free standard shipping on their subscription deliveries as a membership benefit, but delivery timing is governed by the subscription schedule, not standard order processing times.
Free Returns
All Go members enjoy unlimited free returns on eligible purchases through the Upmos marketplace, subject to the terms and conditions below.
Returns Eligibility
- Free Returns label required: Free returns apply only to items explicitly marked “Free Returns” on the product page at the time of purchase. Items not carrying this designation are not eligible for free returns under your Go membership.
- Original condition: Items must be returned in new, unused, and unaltered condition with all original packaging, tags, and accessories intact. Items showing signs of use, damage, or modification may be refused or subject to a restocking fee.
- Third-party seller items: Items sold and fulfilled by third-party sellers on the Upmos marketplace are subject to the individual seller’s return policy, which may differ from Upmos’s standard policy. Free returns are not guaranteed for third-party items unless the seller explicitly offers them.
Return Time Limit
- 30-day return window: Most eligible items must be returned within 30 days of the confirmed delivery date. Returns initiated after 30 days may be declined at Upmos’s discretion.
- Extended window exceptions: Certain product categories (e.g., gifts, select apparel) may be eligible for an extended return window as noted on the product page. These exceptions are product-specific and must be disclosed at checkout.
Return Locations & Fees
- Validated return locations: Free returns are guaranteed at Upmos-validated drop-off locations. These locations are confirmed at the time you initiate a return through your account dashboard and will be displayed with a “Free” designation.
- Non-validated locations: Returning an item at a carrier location that is not Upmos-validated (e.g., a UPS store when a free option such as a closer validated drop point is available) may result in carrier fees charged to you. Upmos is not responsible for fees incurred at non-validated locations.
- Fee disclosure: Any applicable return fees will be clearly disclosed before you confirm your return shipment. Review your return label instructions carefully to avoid unexpected charges.
Non-Returnable & Restricted Items
- Dangerous goods: Items classified as hazardous materials, flammable substances, or regulated goods are non-returnable and must be disposed of in accordance with applicable law.
- Electronics & perishables: Certain electronics (e.g., opened software, digital downloads), perishable goods, intimate apparel, and customized or personalized items may be non-returnable or require special handling. Eligibility is noted on the product page.
- Non-returnable designation: Items explicitly marked “Non-Returnable” or “Final Sale” on the product page cannot be returned under any circumstances, regardless of membership tier.
Shipping Limitations & Third-Party Items
- Upmos-dispatched items: Free shipping and free returns apply to items dispatched directly by Upmos. Third-party seller items shipped from external fulfillment centers may have different shipping and return rules.
- Third-party shipping rules: When an order contains both Upmos-dispatched and third-party items, free shipping and return terms apply only to the Upmos-dispatched portion. Third-party portions are subject to the seller’s stated shipping policy.
- Disclosure at checkout: The fulfillment source and applicable shipping and return terms for each item will be disclosed on the product page and at checkout before purchase.
Returns Abuse Policy
Upmos monitors return activity across all accounts to protect the integrity of the Go membership program and its seller community.
- Excessive returns threshold: Consistently returning more than 10% of purchased items (by order count or value within a rolling 12-month period) may be flagged as excessive returns activity.
- Progressive enforcement: Members who exceed the returns threshold may receive a written warning via email, followed by a temporary suspension of free returns benefits, and ultimately account termination if the pattern continues.
- Account ban: Upmos reserves the right to permanently suspend or terminate a Go membership — without refund of any prepaid fees — in cases of confirmed returns abuse, return fraud, or misrepresentation of item condition.
- Appeals: If you believe your account has been flagged in error, contact support@upmos.com within 14 days of receiving a returns warning notice to request a review.
Express Shipping
Go Premier and Go Exclusive members have access to express shipping for faster delivery on qualifying orders. Express shipping is not available on the base Go Select plan.
Express Shipping Terms
- Minimum purchase: Express shipping is available on orders of $50 or more.
- Delivery time: Packages are typically delivered within 7 business days from the date of shipment. Delivery times are estimates based on carrier performance and are not guaranteed.
- Cost: FREE express shipping is included with Go Premier and Go Exclusive membership tiers on qualifying orders. Not available on the base Go Select plan.
- Availability: Express shipping is available for deliveries within the contiguous United States.
- Tracking: Full tracking information is provided via email and your Upmos account dashboard.
Express Shipping Availability
Express shipping is available Monday through Friday (excluding federal holidays). Orders placed after 2:00 PM CST on business days will be processed on the next business day.
Loyalty Points & Rewards
Every Go membership provides two opportunities to receive eGift card rewards:
- Milestone Loyalty Reward (Consecutive Years): Every Go member earns milestone loyalty rewards after 3, 7, and 10 consecutive years of membership without cancellation (upgrades and downgrades are acceptable). Points Terms & Conditions
- Earning: All Go members earn loyalty points (100 pts/$1 spent). Milestone loyalty rewards are earned after 3, 7, and 10 consecutive years of membership without cancellation (upgrades and downgrades are acceptable). Rewards are valued at $25, $50, and $100 (delivered in points). Each milestone is awarded once. All three milestones are cumulative (you keep prior awards when reaching the next).
- Expiration: loyalty points do not expire while your Go membership remains active. Upon cancellation, unused loyalty points remain available for 90 days after the membership end date. Milestone eGift card rewards, once issued, do not expire per applicable law.
- Non-transferable & non-cashable: loyalty points cannot be transferred between accounts or credited to your Upmos account balance. Go Select and Go Premier members receive milestone rewards as eGift cards only. Go Exclusive members can also cash out (minimum $5.00). Go Select does not offer cashback — only Upmos Liberty does. Every Friday, Go Premier and Go Exclusive members can earn double points through the Upmos Honors loyalty program. Double Up Fridays doubles your point earnings for the day — each doubled point earns at the same $0.025 per 100 points rate — you simply earn 2× the quantity. How Double Up Fridays Works
- When: Every Friday, 12:00 AM – 11:59 PM CST.
- What: All loyalty points earned on qualifying activities during Friday are doubled automatically.
- Point Value: Each doubled point earns at the same $0.025 per 100 points rate as standard points. You simply earn 2× the quantity — doubling your effective return from 2.5% to 5% on Fridays.

Enrollment & Eligibility
Who Can Enroll
To subscribe to a Go membership, you must:
- Be at least 18 years of age (or the age of majority in your jurisdiction).
- Have a valid Upmos account in good standing.
- Provide a valid payment method (credit card, debit card, PayPal, Apple Pay, or Google Pay).
- Agree to this Go Membership Policy, the Upmos Terms of Use, and acknowledge our Privacy Policy.
How to Enroll
- Log in to your Upmos account at upmos.com.
- Navigate to Account > Go Membership.
- Select your preferred plan (Go Select, Go Premier, or Go Exclusive).
- Choose your billing cycle (Monthly or Annually).

One Membership Per Account

Billing & Payment
Accepted Payment Methods
Upmos accepts the following payment methods for Go memberships:

Billing Cycles
- Monthly: Charged on the same calendar date each month as your initial enrollment date. If the date does not exist in a given month (e.g., the 31st), billing occurs on the last day of that month.
- Annually: Charged once per year on the anniversary of your initial enrollment date.
Failed Payments
If a payment fails:
- First attempt: We will retry the charge within 24 hours.
- Second attempt: If the first retry fails, we retry again after 3 days.
- Third attempt: A final retry occurs after 7 days from the original billing date.
- Suspension: If all three attempts fail, your membership is suspended and benefits are paused until payment is resolved.
- Grace period: You have 14 days from the original billing date to update your payment method before your membership is cancelled.
Receipts & Invoices
An email receipt is sent for every successful payment. You can also view and download invoices from Account > Billing > Payment History in your Upmos dashboard.
Taxes
Membership prices are exclusive of applicable taxes. Sales tax will be calculated and added at checkout based on your billing address and applicable state and local tax rates.
Currency & Geographic Scope
All Go membership prices, points values, and reward amounts are listed in U.S. Dollars (USD). Go membership is currently available to customers with a valid billing address in the United States. International availability may be expanded in the future at Upmos’s discretion.
Payment Data Security
All payment information is processed securely in accordance with our Privacy Policy. For details on how we protect your financial data, see the Security section of our Service Level Agreement.
Auto-Renewal
All Go memberships are set to auto-renew by default to ensure uninterrupted access to your benefits.
How Auto-Renewal Works
- Your membership will automatically renew at the end of each billing cycle (monthly or annually) at the then-current price for your plan.
- We will charge your payment method on file on the renewal date.
- A renewal reminder email is sent 7 days before your annual renewal date and 3 days before your monthly renewal date.
Managing Auto-Renewal
You can turn off auto-renewal at any time from your account dashboard:
- Go to Account > Go Membership > Manage Subscription.
- Click “Turn Off Auto-Renewal”.
- Your membership will remain active until the end of your current paid period.
- No further charges will be made after auto-renewal is disabled.
Cancellation & Refunds
How to Cancel
You may cancel your Go membership at any time from your account dashboard:
- Navigate to Account > Go Membership > Manage Subscription.
- Click “Cancel Membership”.
- Confirm your cancellation.
- You will receive a cancellation confirmation email within 24 hours.
Cancellation Terms
- No cancellation fees: There are no hidden fees or penalties for cancelling your Go membership.
- Access until end of period: Upon cancellation, your membership benefits remain active until the end of your current paid billing cycle.
- Points preservation: Unused loyalty points remain available for 90 days after your membership end date. After 90 days, unredeemed points expire.

Upgrades & Downgrades
Upgrading Your Plan
You may upgrade your Go membership to a higher tier at any time:
- Navigate to Account > Go Membership > Change Plan.
- Select the new tier you wish to upgrade to.
- A pro-rated charge will be calculated for the remainder of your current billing cycle. The price difference between your current plan and the new plan will be charged immediately.
- Your upgraded benefits activate immediately upon successful payment.
- Your next renewal will be at the new plan’s rate.
Downgrading Your Plan
You may downgrade your membership to a lower tier:
- Navigate to Account > Go Membership > Change Plan.
- Select the lower tier.
- The downgrade takes effect at the start of your next billing cycle. You will continue to enjoy your current tier’s benefits until the end of the current paid period.
- No partial refunds are issued for downgrades mid-cycle.
Switching Billing Cycles
You may switch between Monthly and Annual billing:
- Monthly to Annual: Takes effect immediately. A pro-rated credit for the remaining days of your current monthly cycle is applied to the annual charge.
- Annual to Monthly: Takes effect at the end of your current annual period. You will not be charged monthly rates until your annual subscription expires.
Account Sharing & Restrictions
Personal Use Only
Go memberships are for personal, non-commercial use only. Each membership is tied to a single Upmos account and may not be shared, transferred, sold, or resold.
Prohibited Activities
- Account sharing: Sharing your login credentials or membership benefits with others.
- Resale: Purchasing memberships for the purpose of reselling or distributing benefits to third parties.
- Fraudulent use: Using your membership in connection with fraudulent, deceptive, or illegal activities.
- Abuse of benefits: Systematically exploiting shipping, returns, or point-earning features in a manner inconsistent with normal personal use.
- Multiple accounts: Creating multiple Upmos accounts to obtain multiple Go memberships.
Consequences of Violations
Violations of this section may result in:
- Immediate suspension or termination of your Go membership.
- Forfeiture of all accumulated loyalty points and unredeemed eGift cards.
- Suspension or termination of your Upmos account per the Acceptable Use Policy.
- Legal action for fraud or damages where applicable.
Membership Suspension & Termination
Voluntary Termination
You may terminate your Go membership at any time by following the cancellation process described in the Cancellation & Refunds section.
Involuntary Suspension or Termination
Upmos reserves the right to suspend or terminate your Go membership if:
- You violate this Policy, the Terms of Use, or the Acceptable Use Policy.
- Repeated payment failures — all retry attempts exhausted and grace period expired.
- Fraudulent or abusive use of membership benefits.
- Your Upmos account is suspended or terminated for any reason.
- Required by law, regulation, or court order.
Effect of Termination
- Benefits cease immediately upon involuntary termination.
- No refund is issued for involuntary terminations resulting from policy violations or fraud.
- Unused loyalty points are forfeited upon involuntary termination.
- Redeemed eGift cards already delivered to your email remain valid per the issuing retailer’s terms.
Reinstatement
If your membership was suspended due to payment failure, you may reinstate it by updating your payment method within the grace period. For suspensions due to policy violations, you may appeal by contacting legal@upmos.com within 30 days. Appeals are reviewed within 15 business days.
Account Succession & Deceased Members
Go memberships are non-transferable and tied to the individual account holder. In the event of a member’s death:
- Notification: An authorized representative (e.g., executor, next of kin) should contact support@upmos.com with proof of authority and a copy of the death certificate.
- Account Closure: The membership will be cancelled effective immediately upon verification. No future billing will occur.
- Unused Benefits: Any unredeemed Loyalty Points, pending eGift cards, or remaining membership time are forfeited upon account closure and cannot be transferred to another account.
- Refunds: If the deceased member was billed within the 30 days prior to notification, Upmos will issue a prorated refund for the unused portion of the billing cycle to the estate or authorized representative.
- Order History: Transaction records may be provided to the authorized representative upon written request for estate administration purposes.
Upmos reserves the right to request additional documentation to verify the identity and authority of the requesting party.
Changes to Membership Plans
Pricing Changes
Upmos Inc reserves the right to modify membership pricing, features, or plan structures at any time. When changes are made:
- Existing members: You will receive at least 30 days advance notice via email before any price increase takes effect on your account.
- Grandfathering: Existing members at the time of a price change will maintain their current rate until the end of their current billing cycle. The new rate applies at the next renewal.
- Feature changes: Added features are effective immediately. Removal of features will include 30 days advance notice and, where applicable, a comparable alternative benefit.
Plan Discontinuation
If Upmos discontinues a membership tier:
- Affected members will receive 60 days advance notice.
- Members will be offered a migration to a comparable plan at the same or lower price.
- If no comparable plan is available, affected members will receive a membership credit for the unused portion of their billing period, applicable toward any future Upmos purchase or service.
Policy Updates
This Policy may be updated from time to time. Material changes will be communicated via email with at least 30 days advance notice. Continued use of your Go membership after the effective date of changes constitutes acceptance of the revised Policy.
Service Level Agreement
Uptime & Availability
Upmos is committed to maintaining 99.99% uptime and security monitoring for the Go membership platform and all associated services.
Service Credits
If the Go membership platform is unavailable for more than 24 consecutive hours (excluding scheduled maintenance), members may be eligible for service credits:
- 24–48 hours downtime: 3-day membership extension.
- 48–72 hours downtime: 7-day membership extension.
- 72+ hours downtime: Pro-rated refund for the affected period.
To request a service credit, contact support@upmos.com within 30 days of the service disruption.
Scheduled Maintenance
Planned maintenance will be announced 7 days in advance via email to Go members and a banner on the Upmos website. Scheduled maintenance windows are typically Sunday 2:00 AM – 6:00 AM CST.

Definitions
The following terms are used throughout this Policy:

Governing Law & Jurisdiction
This Policy and any disputes arising out of or related to it or the Go membership services shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions. This Policy is supplemental to the Upmos Terms of Use, which govern your overall use of our Services.
Exclusive Venue
Any legal action or proceeding arising under this Policy shall be brought exclusively in the federal or state courts located in Harris County, Texas. You hereby consent to the personal jurisdiction of such courts and waive any objection to venue in such courts.
Dispute Resolution
Before initiating any legal claim related to your Go membership, you agree to first attempt to resolve the dispute informally by contacting legal@upmos.com. If the dispute is not resolved within 30 days, either party may proceed with formal resolution as provided herein.
Binding Arbitration
Any dispute, claim, or controversy arising out of or relating to this Policy or the breach thereof that is not resolved informally shall be submitted to binding arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules. Arbitration shall take place in Houston, Texas.
Class Action Waiver
YOU AGREE THAT ANY ARBITRATION OR LEGAL PROCEEDING SHALL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If for any reason a claim proceeds in court rather than in arbitration, you waive any right to a jury trial.
Small Claims Exception
Notwithstanding the binding arbitration provision above, either party may bring an individual action in small claims court in the jurisdiction where you reside (or, if a business, your principal place of business), provided the claim falls within the court’s jurisdictional limits. If the claim is transferred, removed, or appealed to a different court, the arbitration provision shall apply. This exception applies only to claims brought on an individual basis and does not extend to class, consolidated, or representative actions.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, UPMOS INC’S TOTAL AGGREGATE LIABILITY to you for all claims arising out of or related to this Policy or the Go membership services shall not exceed the total amount you have paid for your Go membership in the twelve (12) months preceding the claim.
Waiver of Consequential Damages
IN NO EVENT SHALL UPMOS INC, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, including but not limited to loss of profits, data, goodwill, business opportunities, or other intangible losses, arising out of or in connection with:
- Your use of, or inability to use, Go membership services;
- Any changes to, suspension of, or discontinuation of any Go benefit or feature;
- Unauthorized access to or alteration of your account or data;
- Statements or conduct of any third party in connection with the services;
- Any eGift card, reward, or promotional benefit, whether or not Upmos was advised of the possibility of such damages.
This waiver applies regardless of the legal theory (contract, tort, strict liability, or otherwise) and even if Upmos Inc has been advised of the possibility of such damages. Some jurisdictions do not allow the exclusion of certain damages, so the above limitations may not apply to you to the extent prohibited by applicable law.
Warranty Disclaimer
THE Go MEMBERSHIP SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. Upmos does not warrant that the membership services will be uninterrupted, error-free, or free of viruses or other harmful components. You assume all responsibility and risk for your use of the Go membership services.
Indemnification
You agree to indemnify, defend, and hold harmless Upmos Inc, its affiliates, officers, directors, employees, agents, licensors, and suppliers from and against all claims, losses, expenses, damages, and costs, including reasonable attorneys’ fees, arising out of or relating to: (a) your use or misuse of the Go membership services; (b) your violation of this Policy; (c) your violation of any rights of a third party; or (d) your violation of any applicable law, rule, or regulation.
Force Majeure
Upmos shall not be liable for any failure or delay in performing its obligations under this Policy where such failure or delay results from causes beyond Upmos’s reasonable control, including but not limited to: acts of God, natural disasters, pandemics, epidemics, government actions or orders, war, terrorism, riots, embargoes, labor disputes, supply chain disruptions, internet or telecommunications failures, power outages, fire, flood, or other catastrophic events. In such events, Upmos’s obligations shall be suspended for the duration of the force majeure event, and any affected deadlines shall be extended accordingly.
Intellectual Property
All content, features, and functionality of the Go membership program — including but not limited to the Upmos name, logo, trademarks, service marks, trade names, text, graphics, user interface design, the Upmos Loyalty App, and the proprietary reward point system — are owned by Upmos Inc or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any Go membership content without prior written consent from Upmos Inc.
Severability
If any provision of this Policy is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other provision of this Policy. The remaining provisions shall continue in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
Entire Agreement
This Policy, together with the Terms of Use, Privacy Policy, Acceptable Use Policy, All Access Terms of Use, and any other policies expressly referenced herein, constitutes the entire agreement between you and Upmos Inc with respect to the Go membership services. This Policy supersedes all prior or contemporaneous communications, proposals, representations, and agreements — whether oral or written — relating to the subject matter hereof. No statement, representation, warranty, or agreement made by any Upmos employee, agent, or representative that is not expressly set forth in this Policy shall be binding on Upmos Inc.
Waiver
The failure of Upmos Inc to exercise or enforce any right or provision of this Policy shall not constitute a waiver of such right or provision. Any waiver of any provision of this Policy will be effective only if in writing and signed by an authorized representative of Upmos Inc. No single or partial exercise of any right or remedy shall preclude any other or further exercise of such right or remedy or the exercise of any other right or remedy.
Assignment
You may not assign, transfer, or delegate your rights or obligations under this Policy without the prior written consent of Upmos Inc. Any attempted assignment in violation of this section shall be null and void. Upmos Inc may freely assign, transfer, or delegate its rights and obligations under this Policy without restriction, including in connection with a merger, acquisition, corporate reorganization, sale of all or substantially all assets, or by operation of law. This Policy is binding upon and inures to the benefit of the parties and their respective successors and permitted assigns.
Survival
The following sections of this Policy shall survive any expiration, cancellation, or termination of your Go membership: Limitation of Liability, Warranty Disclaimer, Indemnification, Intellectual Property, Governing Law & Jurisdiction, Exclusive Venue, Dispute Resolution, Binding Arbitration, Class Action Waiver, Force Majeure, Severability, Entire Agreement, Waiver, Assignment, No Third-Party Beneficiaries, Statute of Limitations, and any other provisions that by their nature should survive termination.
Headings
The section headings, titles, and captions used in this Policy are included for convenience of reference only and shall not be used in construing or interpreting any provision of this Policy. Headings do not define, limit, or extend the scope or intent of any section.
Electronic Communications Consent
By enrolling in a Go membership, you consent to receive communications from Upmos Inc electronically, including but not limited to: enrollment confirmations, billing receipts, renewal reminders, policy change notices, service disruption alerts, and promotional offers. You agree that all agreements, notices, disclosures, and other communications that Upmos Inc provides electronically satisfy any legal requirement that such communications be in writing. You may withdraw your consent to receive promotional communications at any time by adjusting your notification preferences in your account dashboard or by contacting support@upmos.com; however, transactional and legal communications required for the administration of your membership cannot be opted out of while your membership is active.
No Third-Party Beneficiaries
This Policy is for the sole benefit of you and Upmos Inc. Nothing in this Policy, express or implied, is intended to or shall confer upon any other person or entity any legal or equitable right, benefit, or remedy of any nature whatsoever. No third party — including but not limited to eGift card retailers, payment processors, shipping carriers, or any family members or associates of the member — shall have any right to enforce any provision of this Policy.
Statute of Limitations
YOU AGREE THAT ANY CLAIM OR CAUSE OF ACTION ARISING OUT OF OR RELATED TO THIS POLICY OR THE Go MEMBERSHIP SERVICES MUST BE FILED WITHIN ONE (1) YEAR AFTER SUCH CLAIM OR CAUSE OF ACTION AROSE. Failure to file within this period shall result in the permanent barring of such claim. This limitation applies regardless of the form of action, whether in contract, tort, strict liability, or otherwise, and applies to the fullest extent permitted by applicable law.

All legal notices from you to Upmos Inc must be sent via certified mail or overnight courier to: Upmos Inc, Attn: Legal Department, 9896 Bissonnet St, Houston, TX 77036, United States, or by email to legal@upmos.com. Notices from Upmos Inc to you will be sent to the email address associated with your Upmos account or, where required by law, by certified mail to your last known mailing address. Notice is deemed received: (a) upon delivery for certified mail or overnight courier; (b) upon transmission for email sent to an active, monitored address. You are responsible for maintaining a current, valid email address in your account settings.
Compliance with Laws
You agree to comply with all applicable federal, state, local, and international laws, statutes, ordinances, and regulations in connection with your use of the Go membership services. Without limiting the foregoing, you shall not use the Go membership services in any manner that would violate any applicable anti-fraud, anti-money laundering, export control, sanctions, consumer protection, or data privacy laws. Upmos Inc reserves the right to cooperate with law enforcement authorities and to comply with court orders requesting or directing the disclosure of information related to your membership or account activity.
Modification of Services
Upmos Inc reserves the right to modify, suspend, or discontinue the Go membership platform or any part thereof — including any features, services, content, or functionality — at any time, with or without notice, and without liability to you. This includes modifications to the Upmos website, the Upmos Loyalty App, the eGift card redemption system, the loyalty points platform, and any associated technology infrastructure. While we will make commercially reasonable efforts to notify members of material changes, Upmos Inc shall not be liable for any modification, suspension, or discontinuance of any aspect of the membership platform.
