1. Program Overview

Upmos Inc. (“Upmos,” “we,” “us,” or “our”) is a Delaware corporation (registered office c/o Republic Registered Agent LLC, 262 Chapman Rd Ste 240, Newark, DE 19702, New Castle County), with its principal place of business at 9896 Bissonnet St, Houston, TX 77036, United States. Upmos operates an e-commerce marketplace at upmos.com. This Cash Back Policy (the “Policy”) governs your participation in the Upmos Liberty cash back program.

Upmos offers a FREE Upmos Liberty program where customers receive a fixed rate of 3% cash back on qualifying purchases.

Definitions

  • Upmos Wallet: Your rewards balance account where cash back accrues and from which redemptions are made.
  • Net Purchase Amount: Product price actually paid in cash, excluding taxes, shipping, tips, and amounts covered by store credit or gift cards.
  • Status States: Pending (order placed), Available (credited after delivery and review), and Frozen (temporarily unavailable during investigations or return processes).

Program Options

Upmos offers three rewards options across its loyalty ecosystem. You earn under only one at a time:

  • Upmos Liberty (Free): Earn 3% cash back on qualifying purchases (described in this Policy).
  • Upmos Honors ($69/year or $49/year for the 3-year term): Earn 10–20 cents per dollar spent via milestone-based eGift card rewards (equivalent to ~10–20% cash back), plus 3 free annual shipments and exclusive benefits.
  • Go Exclusive (separate membership): Members receive Upmos Honors automatically included at no additional cost and may convert accumulated Honors Loyalty Points to cash through the Tremendous platform (Direct Deposit/ACH, PayPal, Venmo, Cash App, or Virtual Prepaid Card). This point-to-cash redemption is exclusive to Go Exclusive and is separate from Liberty’s 3% cash back. Full terms, processing times, and fees are described in the All Access Terms of Use (Section 4.6a).

Important — No Stacking: You can earn under only one program at a time. If you enroll in Upmos Honors (directly, or because Honors is included with your Go Exclusive membership), you do not simultaneously accumulate Upmos Liberty cash back. You may switch programs at any time (see Section 8 for details).

2. Eligibility Requirements

Eligibility Criteria

  • Age: Must be at least 18 years old (or the age of majority in your jurisdiction).
  • Account Status: Account must be in good standing with valid contact information.
  • One Account per Person: Duplicate accounts may be consolidated or closed.

Geography & Currency

  • Cash back availability may vary by country or region.
  • Redemptions are processed in your local currency where supported; otherwise, USD equivalents apply.
  • Certain geographies may be restricted due to compliance or sanctions obligations.

Basic Requirements

  • Verification: Identity verification through ID.me (U.S. residents) or Wise (international residents)
  • Payment Method: Must use a debit card for purchases to earn cash back (credit cards may be excluded from cash back eligibility)

Residency

Available to residents in countries where Upmos operates. Expiration periods and specific terms may vary by country (see Section 5).

Account Status

  • Account must remain in good standing
  • Must comply with Upmos Terms of Use
  • Cannot use account for commercial purposes or resale

Inactive Accounts: An account with no cash back earned for two consecutive years is considered ineligible for the rewards program, and any accrued cash back will be voided.

Go Exclusive Members. This Cash Back Policy describes the Upmos Liberty program. If you are an active Go Exclusive member, your Upmos Honors membership is automatically included at no additional cost, and you earn rewards under Honors (Loyalty Points), not under Liberty. You will not accumulate Liberty cash back while your Go Exclusive subscription is active. For the rules governing your rewards, see the All Access Terms of Use and the Go Membership Policy.

3. How Cash Back Works

Earning Cash Back

  • Rate: 3% of net purchase amount (product cost only)
  • Calculation: Cash back is calculated on the product price BEFORE taxes, shipping fees, and tips
  • Crediting: Cash back is credited to your Upmos Wallet within 7 days of delivery
  • Payment Method: Generally requires use of a debit card (not credit card)

Status Lifecycle

  • Pending: Starts when your order is placed and remains pending until delivery is confirmed.
  • Available: Becomes available within 7 days of delivery unless the order is returned, canceled, or charged back.
  • Frozen: May be temporarily frozen during investigations (see Section 7) or while a return is in transit.

3.1 Promo & Stacking Rules

  • Digital promo codes may be combined with cash back unless otherwise stated at checkout.
  • Store credit or wallet balance reduces the purchase basis; cash back is calculated on the cash amount actually paid.
  • Gift cards and fully store‑credit orders do not earn cash back (see Section 6).

3.2 Caps & Limits

  • Per‑order cap: Cash back is capped at $100 per order.
  • Monthly cap: Total cash back per account is capped at $500 per calendar month.
  • Upmos may adjust caps for promotional periods; any changes will be shown at checkout and in notifications.
  • Annual cap: Total cash back per account is capped at $6,000 per calendar year.
  • Fair Use: Excessive, abusive, or anomalous activity may be limited or denied.

Cash Back Reversal

  • If you return an item, the cash back earned on that item is deducted from your wallet balance
  • If your wallet balance becomes negative due to returns, you must repay the negative balance before placing future orders
  • Partial returns result in proportional cash back deduction

3.3 Payment Method Eligibility

  • Debit cards: Eligible.
  • Credit cards: Not eligible for earning.
  • Prepaid cards: Not eligible for earning.
  • Gift cards/store credit: Not eligible; amounts paid with these do not earn cash back.
  • BNPL (e.g., Affirm, Klarna): Not eligible for earning.
  • Mixed tenders: Cash back applies only to the debit portion actually paid.

3.4 Posting Exceptions & Edge Cases

  • Split shipments: cash back posts per delivered item; delays may occur.
  • Preorders/backorders: cash back posts after delivery is confirmed.
  • Lost or damaged shipments: posting waits for resolution; investigations may extend crediting by up to 15 business days.

3.5 Operational SLAs

  • Posting: Target within 7 days of delivery; max delay up to 15 business days for splits/investigations.
  • Investigations: Initial review within 5 business days; complex cases may extend but will be communicated.
  • Payout Processing: Store credit immediate at checkout; direct deposit/third‑party payouts within 3–5 business days after verification.

Payout Methods by Region

  • US/Canada/UK/EU: Store credit, direct deposit/bank transfer, supported third‑party processors.
  • APAC/MEA: Store credit and supported third‑party processors where available; bank transfers where supported locally.
  • Unavailable geographies: Payouts may be blocked where required by sanctions/export controls.

3.6 Negative Balance Handling

  • Negative wallet balances must be repaid within 15 days.
  • Future cash back credits may be automatically applied to offset negative balances.
  • Ordering is restricted after day 15 until the negative balance is cleared.

4. Redemption Options

How to Redeem Cash Back

The redemption options described in this Section 4 apply to Upmos Liberty cash back. Go Exclusive members who convert Honors Loyalty Points to cash use a separate flow (the Tremendous platform: Direct Deposit/ACH, PayPal, Venmo, Cash App, or Virtual Prepaid Card), described in the All Access Terms of Use (Section 4.6a).

You can redeem earned Liberty cash back through any of the methods below:

Option 1: Store Credit (Most Common)

  • Minimum Redemption: $5.00
  • Applied toward future purchases at checkout
  • Automatically deducted from order total

Option 2: Direct Deposit

  • Transfer cash back directly to your bank account
  • Minimum Redemption: $25.00
  • Processing time: 3-5 business days
  • Bank account must be verified

Option 3: Upmos eGift Cards

  • Redeem cash back for Upmos eGift Cards
  • Available Denominations: $25, $50, $100
  • Delivered to your Upmos account (and email confirmation) typically within 3 hours (target SLA); applied automatically once issued
  • Can be used for future purchases or gifted to others

Option 4: Third-Party Payment Processors

  • Transfer to PayPal or other supported processors
  • Minimum Redemption: $25.00
  • Processing fees may apply
  • Account must be linked and verified

4.1 Payout Cadence & Thresholds

  • Redemptions are processed weekly once the applicable minimums are met.
  • Higher volumes or compliance reviews may extend processing by up to 5 additional business days.
  • We may require additional verification for large or unusual redemption activity.

4.2 Verification Requirements & Compliance

  • Identity and bank verification may be required for certain payout thresholds or unusual activity.
  • Name on bank account must match your Upmos account; mismatches may delay payouts.
  • Payouts are subject to applicable laws, including KYC/AML requirements (Bank Secrecy Act, 31 U.S.C. § 5311 et seq.; 31 CFR Chapter X) and sanctions restrictions administered by the U.S. Treasury’s Office of Foreign Assets Control (OFAC).

Data Retention & Geographies

  • Rewards activity is processed and retained per our Privacy Policy and applicable laws.
  • Geographic restrictions may apply due to sanctions/export controls; see our Acceptable Use Policy for guidance.

Policy Alignment

If this policy conflicts with Terms of Use, Acceptable Use Policy, or Returns/Refunds, those documents govern for the conflicting portion; this policy applies where not in conflict.

Tax & Regulatory

  • Cash back may be considered rebates or promotional incentives; you are responsible for any reporting obligations in your jurisdiction.
  • Where required by law, Upmos may request tax forms prior to payout and may report amounts as applicable.

Redemption Restrictions

  • Cash back cannot be withdrawn as physical cash
  • Cash back cannot be transferred to another Upmos account
  • Once redeemed as eGift cards, cannot be converted back to cash back
  • Redemptions are final and non-refundable

Earning Cash Back

  • Rate: Earn a flat 3% cash back on all eligible purchases — no fees and no minimums. Per-order ($100), monthly ($500), and annual ($6,000) caps apply (see Section 3.2).

  • Expiration: Cash back expiration varies by country (see Section 5); the US, Thailand, and Canada apply a 7-month expiration. There is no minimum redemption for store credit.
  • Redeem Anytime: You can redeem earned cash back at your convenience through any of the available methods.

Exclusions

  • Gift cards, shipping fees, returns, taxes, tips, and promotional or discounted items are excluded from cash back earnings.
  • Credit card payments, third-party marketplace orders, and subscription renewals may also be excluded.

Program Membership

  • Free to Join: The Upmos Liberty program is completely free with no membership fees.
  • Upgrade Available: Switch to Upmos Honors anytime for points-based rewards.
  • Cancellation: You may cancel at any time; unredeemed cash back must be redeemed within 30 days after cancellation or it will be forfeited (see Section 8).

5. Expiration Policy

Important: Cash back expiration rules vary by country. Please refer to the table below for your country’s specific policy.

Expiration Reminders

Extension of Expiration

  • Making a new qualifying purchase does NOT extend the expiration of existing cash back
  • Each cash back amount expires based on its original earn date
  • Cash back earned on new purchases receives a new expiration date

Inactive Accounts: If your account has no earning activity (no points or cash back earned) for two consecutive years, it is considered ineligible for the rewards program, and any accrued cash back will be voided.

6. Exclusions

Cash back is NOT earned on the following purchases:

Product Exclusions

  • Gift Cards: Upmos eGift Cards, third-party gift cards (e.g., Starbucks, Apple), network-branded gift cards (Visa, Mastercard), and reloadable prepaid cards
  • Alcohol: All alcoholic beverages
  • Tobacco Products: Cigarettes, cigars, vaping products, and related items
  • Firearms: Weapons, ammunition, and related accessories
  • Prescription Medications: Prescription drugs and pharmacy purchases submitted to any health benefit program
  • Lottery Tickets: All lottery and gambling-related purchases

Service & Fee Exclusions

  • Membership Fees: Upmos Honors Memberships
  • Shipping & Delivery Fees: Standard shipping, express shipping, delivery charges
  • Taxes: Sales tax, VAT, and other applicable taxes
  • Tips & Gratuities: Tips for delivery or service
  • Vendor Fees: If you’re a marketplace vendor, fees charged to your seller account
  • Financial Services: Purchases through Upmos Financial Hub, money transfers, money orders, bill payments
  • Payment Plan Fees: Affirm, Klarna, and other buy-now-pay-later service fees

Clearance & Discounted Items

  • Deep Clearance Items: Items discounted 41% or more from original price
  • Special Event Pricing: Some Black Friday, Cyber Monday, and promotional event items may be excluded (marked at checkout)

Marketplace Restrictions

  • Third-Party Seller Items: Items sold by third-party sellers on Upmos Marketplace (marked as “Sold by [Seller Name]”) are generally excluded
  • Only items sold directly by Upmos (“Sold by Upmos”) earn cash back

Promotional Restrictions

  • Manufacturer Offers: Limited-time manufacturer promotional offers on specific products may be excluded
  • Paper Coupons: Cannot combine paper coupons with cash back earnings on the same purchase
  • Digital promo codes can be combined with cash back (unless otherwise stated)

Payment Method Exclusions

  • Upmos Credit/Wallet Balance: Items purchased entirely with Upmos store credit or existing wallet balance do not earn cash back
  • If you use a combination of payment methods, cash back is calculated only on the debit card portion

Exclusion Notifications: Excluded items are marked at checkout. Your order summary will show “Cash back eligible” or “Not eligible for cash back” for each item.

7. Fraudulent Activity & Termination

Cash Back Forfeiture

Upmos reserves the right to forfeit, suspend, or revoke cash back if:

  • Fraudulent Purchases: Account used for unauthorized or fraudulent transactions
  • Return Abuse: Engaging in “wardrobing” (buying items, using them, then returning), serial returns, or other return policy violations
  • Terms Violation: Violation of Upmos Terms of Use, Acceptable Use Policy, or any other platform policies
  • Commercial Resale: Using personal account to purchase products for commercial resale purposes
  • Account Sharing: Sharing account credentials or allowing unauthorized use of your account
  • Gaming the System: Attempting to manipulate cash back earnings through artificial transactions, fake purchases, or coordinated buying patterns

Account Termination Rights

Upmos reserves the right to terminate or suspend your Upmos Liberty participation at its discretion for:

  • Abuse of privileges or benefits
  • Fraud, misrepresentation, or illegal activity
  • Declined payments or chargebacks — except chargebacks initiated under your statutory rights to dispute billing errors or unauthorized transactions under the Fair Credit Billing Act (15 U.S.C. § 1666 et seq.), the Electronic Fund Transfer Act (15 U.S.C. § 1693 et seq.), or applicable state law
  • Multiple accounts under the same person (one account per individual)
  • Any other reason determined by Upmos, at its sole discretion

Effect of Termination

  • All pending and accrued cash back may be forfeited
  • No refunds for forfeited cash back
  • May result in suspension or permanent ban from all Upmos rewards programs
  • May result in account closure

Go Exclusive Members. If your Go Exclusive membership lapses, is canceled, or is terminated, the auto-inclusion of Upmos Honors ends at the same time. You may re-enroll in Upmos Liberty per Section 8 or subscribe to Upmos Honors directly. Forfeiture, suspension, and reinstatement of your Loyalty Points are governed by the All Access Terms of Use and the Go Membership Policy, not by this Cash Back Policy.

7.1 Dispute Resolution

For order-level disputes covered by Upmos’s buyer-protection program (e.g., item not received, item materially not as described, unauthorized charge), see the Upmos Guarantee for filing windows, caps, and the decision SLA. Cash-back disputes follow the channels below.

  • Initiate a dispute: Open a ticket from your account within 30 days of the transaction posting.
  • Evidence: Provide order number, item details, payment confirmation, and any correspondence.
  • Review SLA: We aim to resolve disputes within 10 business days; complex cases may take longer.
  • Outcome: Decisions will be communicated via email and dashboard; you may request one appeal with new evidence within 7 days.

Appeals Policy

  • One appeal is permitted per decision within 7–14 days of notification.
  • Appeals must include new, material evidence not previously submitted.
  • Appeal decisions are final.

Investigation Period: During investigation of suspected fraudulent activity, cash back earnings may be temporarily frozen. You will be notified if your account is under review.

8. Switching or Canceling Programs

Switching from Cash Back to Upmos Honors

  • You can upgrade to Upmos Honors at any time
  • Remaining Cash Back: Any accrued cash back in your account will remain subject to the expiration limits for your country
  • You must redeem existing cash back before it expires
  • Once upgraded, you cannot earn additional cash back (you’ll earn Honors milestone rewards instead)
  • Annual Fee: $69/year or $49/year for 3-year term ($147 upfront)

Switching from Upmos Honors to Upmos Liberty

  • You can downgrade to free Upmos Liberty at any time
  • Annual Fee: Annual fee is non-refundable, but no further charges will apply
  • Honors Points: Any unused Honors Points will be forfeited and cannot be transferred to Upmos Liberty
  • Redeem First: Make sure to use all your Honors benefits before switching
  • After downgrade, you’ll begin earning 3% cash back on future purchases

Canceling Upmos Liberty

  • You can cancel participation at any time
  • No cancellation fees (it’s a free program)
  • Accrued Cash Back: You have 30 days to redeem any remaining cash back balance after cancellation
  • After 30 days, unredeemed cash back will be forfeited

Upgrading from Upmos Liberty to Go Exclusive

  • Liberty Stops Accruing: Once your Go Exclusive subscription becomes active, you stop accumulating Liberty cash back on new purchases. From that point forward you earn Honors Loyalty Points instead, per the included Honors benefit.
  • Existing Balance: Cash back you already earned under Liberty remains in your Upmos Wallet and may be redeemed through the methods in Section 4 while your Liberty enrollment was active.
  • No Conversion: Existing Liberty cash back cannot be converted into Honors Loyalty Points (and vice versa).
  • The full Go Exclusive enrollment, fee, and benefit terms are described in the All Access Terms of Use and the Go Membership Policy.

Go Exclusive Membership Lapse, Cancellation, or Non-Renewal

  • Honors Auto-Inclusion Ends: When your Go Exclusive membership ends for any reason, the included Honors benefit ends at the same time.
  • Choose Your Next Path: You may (a) re-enroll in Upmos Liberty at no cost and begin earning 3% cash back on future purchases, (b) subscribe to Upmos Honors directly, or (c) continue without an active rewards program.
  • Liberty Does Not Resume Automatically: Re-enrollment in Liberty is your choice; previously forfeited Liberty cash back is not restored. Honors-from-Go Loyalty Points are governed by the All Access Terms of Use.

Notice Period

  • No advance notice required for free Upmos Liberty cancellation
  • Changes take effect immediately or at the end of current billing cycle (if switching from paid program)

How to Switch or Cancel: Visit your account settings → Manage Rewards Programs → Select your desired program or cancel participation. You can also contact customer service for assistance.

9. Program Changes & Modifications

Upmos Rights to Modify Program

Upmos reserves the right to modify, suspend, or discontinue the Upmos Liberty program at any time, including:

  • Cash back percentage rates (currently 3%)
  • Eligible products and categories
  • Exclusion lists
  • Redemption options and minimums
  • Expiration periods
  • Terms and conditions

Notice of Changes

  • Material Changes: Upmos will provide 30 days’ advance notice for material changes (e.g., reduction in cash back rate, major exclusions)
  • Non-Material Changes: Minor changes may be made without advance notice
  • Notification Methods: Email, account dashboard notifications, website announcements

Your Acceptance of Changes

  • Continued participation after notification of changes constitutes acceptance of the new terms
  • If you do not agree to changes, you may cancel your participation (see Section 8)

Program Discontinuation

If Upmos discontinues the Upmos Liberty program entirely:

  • 30 days’ notice will be provided
  • You will have 60 days to redeem all accrued cash back
  • After 60 days, unredeemed balances will be forfeited
  • No compensation for lost future earning potential

I’m a Go Exclusive member. Does this Cash Back Policy apply to me? Only for any Liberty cash back you earned before your Go Exclusive subscription began. While Go Exclusive is active, you earn Honors Loyalty Points (not Liberty cash back), and your rewards are governed by the All Access Terms of Use and the Go Membership Policy.
If I upgrade to Go Exclusive, what happens to my existing Liberty cash back? Your existing Liberty cash back balance remains in your Upmos Wallet and may be redeemed through the methods in Section 4. New purchases stop earning Liberty cash back at upgrade and begin earning Honors Loyalty Points instead.
If my Go Exclusive membership ends, do I automatically rejoin Liberty? No. You may re-enroll in Liberty at any time (it’s free), subscribe to Honors directly, or continue without an active program. See Section 8 for details.
How do Go Exclusive members redeem cash? Go Exclusive members convert Honors Loyalty Points to cash through the Tremendous platform (Direct Deposit/ACH, PayPal, Venmo, Cash App, or Virtual Prepaid Card). See the All Access Terms of Use, Section 4.6a, for thresholds, fees, and processing times.

10. Survival

Sections relating to intellectual property, disclaimers, limitations of liability, indemnification, dispute resolution, and any obligations that by their nature should survive, shall continue in full force and effect after the termination or cancellation of your participation in the Upmos Liberty program or account closure.

11. Relationship of the Parties

Nothing in this policy creates a partnership, joint venture, agency, franchise, or employment relationship between you and Upmos. Your participation in the Upmos Liberty program does not constitute a contractual entitlement to any particular rate, benefit, or duration of the program.

12. Children and Age Restrictions

The Upmos Liberty program is not directed at children under the age of 13 (or the applicable minimum age in your jurisdiction). Consistent with the Children’s Online Privacy Protection Act (COPPA, 15 U.S.C. § 6501 et seq.) and its implementing regulations at 16 CFR Part 312, if we learn that a participant is under 13, we will promptly terminate their rewards participation and forfeit any accrued balances. Parents or guardians who believe their child has enrolled may contact us at support@upmos.com to request removal.

13. International Users

If you access the Upmos Liberty program from outside the United States, you do so at your own initiative and are responsible for compliance with local laws. Certain features, payout methods, or benefits may not be available in all jurisdictions. Upmos makes no representation that the program is appropriate or available for use in all locations. Participants identified on, or subject to, lists administered by the U.S. Treasury’s Office of Foreign Assets Control (OFAC) (including the Specially Designated Nationals and Blocked Persons List), or otherwise subject to U.S. or international sanctions, export controls, or trade restrictions, may be excluded from the program.
